Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and MasterLyst, Inc., a Texas corporation ("MasterLyst," "Company," "we," "our," or "us"), governing your access to and use of the MasterLyst website, software, applications, APIs, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
Eligibility and Authority
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this agreement. If you use the Platform on behalf of a school, nonprofit organization, corporation, church, association, or other entity, you represent and warrant that you have full authority to bind that entity to these Terms, and references to "you" include that entity.
License to Use
The Platform is a software-as-a-service (SaaS) solution that enables users to create and manage events, collect registrations, coordinate volunteers, communicate with participants, process payments, and integrate with third-party services. Subject to your compliance with these Terms, MasterLyst grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful internal purposes. No ownership rights are transferred. MasterLyst reserves all rights not expressly granted.
Platform Modifications
MasterLyst may modify, update, suspend, or discontinue any feature or functionality of the Platform at any time. We may deploy updates, patches, or modifications without notice. Continued use of the Platform constitutes acceptance of such changes.
Account Responsibility
You are solely responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. You agree to provide accurate and complete information and to update it as necessary. MasterLyst may suspend or terminate accounts for violations of these Terms, suspected fraud, non-payment, or conduct that poses risk to the Platform or other users.
User Content
You retain ownership of content, data, text, images, communications, event details, and other materials submitted to the Platform ("User Content"). You grant MasterLyst a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, display, modify, and distribute User Content solely for the purpose of operating, securing, and improving the Platform. You represent and warrant that you have all necessary rights and permissions to submit User Content and that it does not violate any law or third-party rights.
Your Legal Responsibility
You are solely responsible for compliance with all laws applicable to your events, fundraising activities, volunteer coordination, and communications, including charitable solicitation laws, tax regulations, consumer protection laws, and privacy regulations. MasterLyst does not monitor or control the legality of events or fundraising campaigns conducted through the Platform and disclaims responsibility for user conduct.
FERPA Compliance
If you are a school, school district, or educational institution subject to the Family Educational Rights and Privacy Act ("FERPA"), you acknowledge that you are responsible for determining whether parental consent or other legal authorization is required before submitting student information to the Platform. MasterLyst acts as a service provider and processes such information solely on your documented instructions for the purpose of providing the Platform. MasterLyst does not sell student data and does not use student data for targeted advertising. Schools remain the data controller and are responsible for compliance with FERPA and other applicable student privacy laws.
Nonprofit Representation
If you are a nonprofit organization, you represent and warrant that you are properly registered and authorized to conduct any fundraising activities facilitated through the Platform and that you will comply with all applicable state and federal charitable solicitation and disclosure requirements. MasterLyst is not a professional fundraiser, financial advisor, escrow agent, trustee, or fiduciary.
Payment and Fees
If you purchase a subscription or use paid features, you agree to pay all applicable fees as disclosed at the time of purchase. Fees are billed in advance and are non-refundable except as required by law. MasterLyst may modify pricing upon renewal with reasonable notice. Failure to pay fees may result in suspension or termination. Payment processing services are provided by third-party processors, and your use of those services is subject to their separate terms. MasterLyst is not responsible for payment processor errors, delays, chargebacks, or banking issues.
Prohibited Conduct
You agree not to misuse the Platform. Prohibited conduct includes, without limitation, violating any law; infringing intellectual property rights; uploading malicious code; attempting unauthorized access; scraping, reverse engineering, or exploiting the Platform; impersonating others; transmitting spam; conducting unlawful fundraising; or interfering with security measures. MasterLyst may investigate violations and cooperate with law enforcement.
Intellectual Property
All intellectual property rights in the Platform, including software, architecture, source code, object code, APIs, documentation, trade secrets, trademarks, and design elements, are and remain the exclusive property of MasterLyst or its licensors. You may not copy, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Platform except as expressly permitted.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, MASTERLYST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MASTERLYST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASTERLYST SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. MASTERLYST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT PAID BY YOU TO MASTERLYST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
Indemnification
You agree to indemnify, defend, and hold harmless MasterLyst and its officers, directors, employees, shareholders, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, your events or fundraising activities, your violation of these Terms, your violation of law, or your infringement of third-party rights.
Binding Arbitration and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Texas, unless otherwise agreed. The arbitrator shall have exclusive authority to resolve disputes regarding enforceability or scope of this arbitration provision.
YOU AND MASTERLYST AGREE THAT ALL CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION. If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in effect.
Nothing herein prevents either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or misuse of confidential information.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to the arbitration provision above, exclusive venue for any permitted court action shall lie in the state or federal courts located in Texas, and you consent to personal jurisdiction therein.
Changes to Terms
MasterLyst may modify these Terms at any time. Updated Terms will be posted with a revised Effective Date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
